01 Acceptance of Terms

The Site is provided for informational and business purposes—learning about our products, requesting samples and quotations, and contacting our team. You agree not to:

• Use the Site in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Site, its servers, or related systems
• Introduce malware or interfere with the integrity or performance of the Site
• Scrape, harvest, or collect information about other users, or use automated means to access the Site in a manner that imposes an unreasonable load
• Misrepresent your identity or affiliation, or submit false or misleading information

03 Intellectual Property

The Site and its contents—including text, graphics, logos, images, product descriptions, data sheets, and the "Novi Chemical" name and marks—are owned by or licensed to Novi Chemical and are protected by intellectual property laws. You may view and download materials for your internal business evaluation only. Any other use, including reproduction, modification, distribution, or republication, requires our prior written consent.

04 Product Information & Specifications

Product descriptions, shade references, technical data, Certificates of Analysis (CoA), Safety Data Sheets (SDS), Technical Data Sheets (TDS), and other materials on the Site are provided for general information. While we work to keep this information accurate and current, specifications, availability, and documentation are subject to change without notice and may be updated for individual lots.

Information on the Site does not constitute a binding offer to sell, a warranty, or a guarantee of suitability for any particular purpose. The CoA and SDS applicable to a specific shipment govern that shipment.

05 Quotations, Samples & Orders

Requests submitted through the Site (including quote, sample, catalog, and NDA requests) are invitations for us to provide information and are not orders. Any sale of products is subject to a separate written quotation, order acknowledgment, and Novi Chemical's conditions of sale, which—together with any applicable supply or quality agreement—govern the commercial relationship and prevail over these Site Terms with respect to product sales. Samples are provided for evaluation only and may not be resold or used in commercial production without a corresponding qualified supply.

06 Intended Use & Regulatory Compliance

Novi Chemical supplies dyes, colorants, and pigments to professional and industrial users for legitimate cosmetic, pharmaceutical, personal care, and research and development applications. Our products are not offered for any unlawful use.

You must review the applicable SDS before handling any product. Nothing on the Site should be construed as advice that a product is approved or fit for a specific regulated end use; that determination rests with you.

07 Disclaimer of Warranties

The Site and its contents are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that information on it is complete or current. Any warranties relating to products are addressed solely in the applicable conditions of sale and not by these Site Terms.

08 Limitation of Liability

To the fullest extent permitted by law, Novi Chemical and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or related to your use of—or inability to use—the Site, even if advised of the possibility of such damages. To the extent liability cannot be excluded, it is limited to the maximum extent permitted by applicable law.

09 Indemnification

You agree to indemnify and hold harmless Novi Chemical and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

The Site may contain links to third-party websites or resources provided for convenience. We do not control and are not responsible for their content, products, or practices, and links do not imply endorsement.

11 Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we handle personal information. By using the Site, you acknowledge the practices described there.

12 Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Wyoming will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to their jurisdiction and venue.

13 Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page with a new "Last updated" date. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

14 General

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with the Privacy Policy and any applicable conditions of sale or written agreements, constitute the entire agreement between you and Novi Chemical regarding the Site.
